1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the DEIS platform, website, and services (collectively, the “Service”) operated by Forman Pacific, LLC (“Deis”) (“we”, “us”, or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Definitions

“Business User” means any individual or entity that creates a DEIS account to run lookups on third-party data sources.

“Individual” means any person whose personal information is accessed through the Service, including users of the transparency portal.

“Lookup” means any search or query performed through the Service on a connected data source.

“Data Source” means any third-party service connected to DEIS, including but not limited to Carjam, PPSR, Companies Office, NZBN, Centrix, Equifax, illion, Landonline, and Ministry of Justice records.

3. Business User obligations

As a Business User, you agree to:

  • Use the Service only for lawful purposes and in compliance with the Privacy Act 2020 and all applicable New Zealand legislation.
  • Select the correct IPP3A compliance pathway for each lookup and provide accurate justification.
  • Not use the Service to harass, stalk, or unlawfully monitor any individual.
  • Maintain the confidentiality of your account credentials and magic-link access.
  • Ensure that all team members added to your account understand and comply with these Terms.
  • Not resell, sublicense, or redistribute lookup results or access to the Service.

4. Individual rights

Individuals whose data is accessed through the Service have the following rights:

  • Right to be informed (IPP3A) — the Business User is responsible for ensuring you are notified when your personal information is collected from a third-party source through DEIS.
  • Right of access (IPP6) — you may access information about lookups performed on you through the transparency portal.
  • Right of correction (IPP7) — you may request correction of inaccurate information through the transparency portal or by contacting us.
  • Right to complain — you may complain to the Office of the Privacy Commissioner at privacy.org.nz if you believe your privacy rights have been breached.

5. Transparency portal

The DEIS transparency portal provides individuals with access to information about lookups performed on them through the Service. Access is via a time-limited, single-use magic link sent to the individual’s email address.

The portal shows the date, data source, and stated purpose of each lookup. It does not disclose the full lookup results or confidential business information of the Business User.

6. Fees and payment

The free tier provides access to government data sources at no charge. The Professional plan is $99 NZD per year, billed annually. Enterprise pricing is negotiated individually.

Per-lookup fees for premium data sources are charged monthly in arrears. Current per-lookup pricing is published on our pricing page and may be updated with 30 days’ notice.

All prices are in New Zealand dollars and are exclusive of GST where applicable.

7. Data handling

Lookup results and compliance evidence are stored on New Zealand-based infrastructure. We do not transfer personal information outside New Zealand without your explicit consent.

Evidence log entries are retained for 7 years by default. Lookup results are retained according to the retention policy configured by the Business User, which must comply with the Privacy Act 2020.

8. Limitation of liability

DEIS facilitates compliant access to third-party data sources and captures compliance evidence. We do not guarantee the accuracy, completeness, or currency of data returned by third-party sources.

To the maximum extent permitted by New Zealand law, our total liability to you for any claim arising from these Terms or the Service is limited to the fees you paid to us in the 12 months preceding the claim.

9. Termination

You may close your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service unlawfully.

On termination, your evidence log remains available for export for 90 days. After that period, it is deleted in accordance with our data retention policy.

10. Governing law

These Terms are governed by the laws of New Zealand. Any dispute arising from these Terms or the Service will be resolved in the courts of New Zealand.
